1. Acceptance of Terms
By accessing or using OmniEditor ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service.
2. User Accounts
When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a daily, monthly, or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or OmniEditor cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.
4. License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Service for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as it is strictly necessary to use the Service for its intended purpose.
5. Intellectual Property
The Service and its original content (excluding content created by users), features, and functionality are and will remain the exclusive property of OmniEditor and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of OmniEditor.
6. Prohibited Activities
You agree not to use the Service for any purpose that is illegal or prohibited by these Terms. You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
- Use the Service in any manner that could damage, disable, overburden, or impair the Service.
- Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose.
- Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
7. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
8. Disclaimer of Warranties; Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the service will be uninterrupted, secure, or error-free. In no event shall OmniEditor, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
